Selected intern's day-to-day responsibilities include:

1. Use unambiguous language to avoid misinterpretations
2. Clearly define terms in the agreement
3. Incorporate relevant laws and regulations such as securities laws, anti-money laundering statutes, and corporate governance rules
4. Include provisions for indemnities, representations, warranties, and disclaimers to allocate risks between parties
5. Safeguard sensitive financial and strategic information
6. Draft provisions to ensure enforceability across jurisdictions involved
7. Assist in drafting the engagement letter, which establishes the terms of engagement between the investment bank and its client, including clauses such as scope of services, compensation, confidentiality, and termination
8. Help draft the share purchase agreement (spa), which governs the sale of shares in a merger or acquisition, including clauses like representations and warranties, indemnities, and conditions precedent
9. Support in preparing the loan agreement, which outlines the terms for financing provided by the investment bank, including clauses on the interest rate, repayment terms, and covenants
10. Draft the non-disclosure agreement (NDA) to protect confidential information shared during negotiations, including clauses defining confidential information, obligations, and exceptions
11. Contribute to the creation of the information memorandum, which provides information about a securities offering for investors, including risk factors, financial statements, and legal disclaimers
