1. Ensures compliance with Company Law, Foreign Exchange Management Act (FEMA), and other applicable laws for the corporation.
2. Regularly files returns and documents with the Registrar of Companies, Reserve Bank of India, and other statutory authorities as required by various laws.
3. Prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs) and follow up on action points.
4. Timely prepares Annual Reports and Compliance Reports.
5. Convene and service AGMs, take minutes, draft resolutions, and lodge required forms and annual returns with appropriate departments.
6. Provide legal, financial, and/or strategic advice during and outside of meetings.
7. Ensure policies, and regulatory, or statutory changes that might affect the organization are up to date and approved by the committee.
8. Maintain statutory books, including registers of members, directors, and secretaries.
9. Handle correspondence, collate information, write reports, and communicate decisions to relevant company stakeholders.
10. Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.
11. Manage contractual agreements with suppliers and customers.
12. Report to the Managing director and often liaise with board members.
