The Company Secretary (CS) ensures that the company complies with statutory and regulatory requirements while upholding best corporate governance practices. They serve as a key advisor to the board, handling legal, administrative, and compliance responsibilities.
Key responsibilities:
1. Compliance & legal governance:
Ensure compliance with corporate laws, regulations, and listing requirements (if applicable).
Maintain statutory registers and records as required by law.
File necessary documents with regulatory authorities (e.g., ROC, SEBI, Stock Exchanges).
Keep track of corporate governance policies and recommend improvements.
2. Board & shareholder management:
Organize board meetings, AGM, and other key meetings, including preparing agendas and minutes.
Ensure proper documentation of board decisions and resolutions.
Advise the board on their legal duties and responsibilities.
Handle shareholder queries, dividend payments, and investor relations.
3. Corporate filings & documentation:
Draft, review, and maintain key legal agreements and contracts.
Ensure proper maintenance of Memorandum & Articles of Association.
Oversee the filing of financial reports and disclosures.
4. Risk management & ethics compliance:
Identify and mitigate corporate risks related to governance and compliance.
Ensure adherence to ethical business practices and corporate social responsibility (CSR) norms.
5. Liaison with regulatory authorities:
Act as the primary liaison with government bodies, stock exchanges, SEBI, and other regulators.
Keep up to date with changes in corporate laws and advise the company accordingly.
Qualifications & skills:
Education: CS qualification from ICSI (Institute of Company Secretaries of India) or equivalent.
Experience: [1-2 yrs of experience in corporate governance, compliance, and legal advisory roles.
Skills:
Strong knowledge of corporate laws and regulations.
Excellent communication and drafting skills.
Attention to detail and analytical mindset.
Ability to work with senior management and regulatory bodies.
Proficiency in legal and compliance software/tools.
