We are seeking a qualified and experienced Company Secretary to ensure smooth corporate governance, legal compliance, and statutory reporting within the organization. The Company Secretary will work closely with the Board of Directors, senior management, and regulatory authorities to manage corporate records, filing, legal documentation, and adherence to legal requirements. This role is ideal for someone with strong legal knowledge, attention to detail, and the ability to manage corporate governance tasks effectively.Key Responsibilities:
Corporate Governance: Ensure compliance with corporate governance standards and frameworks. Advise the Board and senior management on governance matters, ensuring that they adhere to legal and regulatory requirements.
Statutory Compliance: Oversee and ensure that the company complies with the applicable laws and regulations, including the Companies Act, SEBI regulations, and other industry-specific laws.
Board Support: Organize and coordinate meetings of the Board of Directors, ensuring that agendas are prepared, minutes are recorded accurately, and action items are followed up.
Shareholder Communication: Manage shareholder communications, including preparing annual reports, sending notices for meetings, and handling proxy submissions. Facilitate Annual General Meetings (AGMs) and Extraordinary General Meetings (EGMs).
Filing and Regulatory Requirements: Prepare and file necessary documents and returns with regulatory authorities, including the Ministry of Corporate Affairs (MCA), SEBI, and other statutory bodies. Ensure timely compliance with filing deadlines.
Corporate Records Management: Maintain and update corporate records, such as the register of members, directors, and company policies. Ensure the secure storage of all legal documents.
Legal Documentation: Prepare and review legal documents, such as resolutions, contracts, and other corporate documents. Ensure that these documents are in compliance with corporate laws and regulations.
Risk Management: Identify and manage risks related to corporate governance, compliance, and legal matters, and provide guidance on mitigating actions.
Corporate Transactions: Provide support in corporate restructuring, mergers, acquisitions, and other major corporate transactions, including legal documentation and compliance procedures.
Audit & Compliance Support: Assist with internal and external audits. Ensure all records are accurate, up to date, and compliant with regulations.
Legal Advice: Provide legal and compliance advice to the management and board on day-to-day operations and corporate matters.Qualifications:
Education: A Bachelors degree in Law (LLB) and a membership with the Institute of Company Secretaries of India (ICSI) (FCS or ACS).
Experience: Minimum 3-5 years of experience as a Company Secretary in a corporate environment, preferably in a listed or large private company.Skills & Knowledge:In-depth knowledge of corporate laws, the Companies Act, SEBI regulations, and other applicable legislation.Experience in organizing and facilitating Board meetings and AGMs.Strong communication and interpersonal skills, with the ability to communicate effectively with senior management, the Board, and regulatory bodies.Proficiency in using MS Office, corporate governance tools, and document management systems.Attention to detail and strong organizational skills.Preferred Attributes:
Experience working in a listed company or large corporate environment.
Ability to handle complex legal and regulatory compliance tasks.
Strong problem-solving abilities and a proactive approach to resolving corporate governance issues.
