Legal Manager Job

Key responsibilities:

1. Advise on all aspects of corporate/commercial legal matters of the organization for equity funding, debt financing, joint ventures, corporate restructurings, and other commercial agreements
2. Provide end-to-end legal support for fundraising activities of the group including drafting, vetting, and negotiating a wide variety of corporate/commercial contracts such as shareholder agreements, share subscription agreements, share purchase agreements, business transfer agreements, and asset transfer agreements
3. Assist in the due diligence exercise by coordinating with other functions and drafting/collating responses to investor queries in a timely manner
4. Review and draft documents related to debt financing activities of the group
5. Coordinate and negotiate with lenders and complete documentation in a time bound manner
6. Carry out discussions with external counsels engaged for transactions/legal opinions, negotiate with the legal team of the counterparty and carry out discussions with management on transactions and legal positions to assess and explain the legal risks involved
7. Ensure legal compliance with the contractual terms and obligations of the group and maintain necessary compliance trackers
8. Stay adept with all corporate laws including Companies Act, FEMA regulations/directions, and SEBI regulations/advisories
9. Stay up-to-date with legal framework developments and conduct regular knowledge sharing sessions for the team
10. Promote consistency of approach in legal matters between internal stakeholders
11. Lead, manage, and supervise the legal repository system
